The FTC ended the antitrust waiting period early on onsemi's Synaptics takeover

onsemi told investors the Federal Trade Commission had granted early termination of the Hart-Scott-Rodino waiting period, leaving stockholder approval and other clearances still outstanding before the deal can close.

onsemi disclosed on August 13 that the Federal Trade Commission had granted early termination of the antitrust waiting period on its planned acquisition of Synaptics.

In a Form 8-K filed under Rule 425, the company said it had entered an Agreement and Plan of Reorganization with Sonic Acquisition Corp., a wholly owned subsidiary, and Synaptics on June 25, 2026. Under the agreement, the subsidiary merges into Synaptics, which survives as a wholly owned subsidiary of onsemi. The parties filed their notifications under the Hart-Scott-Rodino Antitrust Improvements Act on July 17, 2026, and onsemi said the FTC granted early termination of that waiting period on August 12.

The filing was explicit that this settles one condition rather than the transaction. onsemi said closing remained subject to the satisfaction or waiver of the remaining conditions in the merger agreement, including the required approval of Synaptics stockholders and certain other regulatory approvals or clearances. The parties continue to expect the merger to close in mid-2027.

Synaptics supplies touch, display and human interface controllers along with edge-AI processors. onsemi’s automotive business has been reporting design wins tied to the shift toward zonal architecture: in its most recent quarter the company named Rivian’s R2 as a zonal win, with automotive revenue up year over year.

Why it mattersThe sensing and edge-AI silicon that zonal designs depend on is consolidating into fewer hands, and each cleared condition makes that consolidation harder to reverse.
