Einride disclosed a haulier acquisition, with a price, only in its SEC filing
A Form 6-K set out the terms of a Swedish carrier purchase that closed on September 1 and that the company has not announced through its own newsroom.
Einride told the US Securities and Exchange Commission on September 4 that it had completed the acquisition of a Swedish carrier, giving a purchase price and a share count that appear nowhere in the company’s own published material.
The filing said Einride entered a share purchase agreement on July 28, 2026 through its wholly owned subsidiary Einride MidCo AB. The seller consists of two entities: Ytterhälla Transport AB, which operates the carrier business, and Ytterhälla Fastighets AB, which owns the real estate where the seller keeps its offices and its parking area for trucks and other vehicles.
The total purchase price paid at closing was 17,069,056 Swedish kronor, which the filing put at approximately 1,792,000 US dollars. The seller’s shareholders also hold a right to earn-out consideration of up to 10 million kronor in aggregate, subject to milestones over the next three years.
The transaction closed on September 1. Half the purchase price was paid in cash and half in ordinary shares of the company. The share consideration came to 8,534,520 kronor, corresponding to 133,599 shares at a share value of 6.670 dollars, which the filing described as the volume-weighted average trading price of the company’s American depositary shares over the 30 trading days ending August 25, 2026. Those ordinary shares have not yet been converted to depositary shares.
Einride’s press page was live at the time of writing and carried items through August 27. It contains no reference to the acquisition or to either acquired company. A Form 424B3 filed the same day furnished a replacement set of risk factors.
