Qianli Technology will buy Zeekr's intelligent-driving test rigs for 34.4 million yuan

A Shanghai-listed Chinese vehicle company is taking over 265 pieces of test equipment and three unfinished calibration and update-test facilities from Zeekr's research arm, in a related-party deal.

Chongqing Qianli Technology told the Shanghai Stock Exchange on September 30 that its controlled subsidiary Chongqing Qianli Zhijia Technology would sign an asset transfer agreement with Zhejiang Zeekr Automotive Research and Development, buying electronic equipment and equipment installation works used in intelligent-driving development for 34.4388 million yuan including 13 percent value-added tax. An appraisal on a cost basis valued the assets at 30.4768 million yuan excluding tax, a 6.67 percent premium to book value.

The equipment is 265 items bought between 2022 and 2025, listed in the filing as hardware-in-the-loop test systems for the intelligent-driving domain, CANoe units, gigabit Ethernet converters, universal debug engine signal converters, single-channel automotive Ethernet T1-to-TX bus interfaces, single-channel CAN FD bus communication units and network cabinets. The installation works are construction in progress on three facilities: an automated test system for over-the-air updates to the intelligent-driving domain controller, an around-view calibration bay and a forward intelligent perception calibration bay.

Qianli gave its own reason for buying rather than building: the equipment has completed parameter debugging and system adaptation and the works are essentially complete, which it said shortens the procurement, construction and commissioning cycle.

The filing treats Zhejiang Zeekr as a related party, because its actual controller indirectly holds more than 5 percent of Qianli and its legal representative sits on Qianli’s board. Twelve non-related directors approved the transaction on September 29; directors Li Chuanhai and Liu Jinliang recused themselves. No shareholder vote was required.

Why it mattersValidation capacity is the part of an assisted-driving program that is slowest to build and least visible from outside, and this filing puts a price on a working set of it.
